Terms of Service

1. Service Description

FieldTimesheet is a cloud-based time tracking application designed for electrical contractors and construction businesses. Our Service provides:

• Mobile and web-based time tracking for employees and contractors
• Job and project management with time allocation
• Real-time job costing and labor cost analysis
• Integration with QuickBooks Online for automatic time entry synchronization
• Reporting and analytics for workforce management
• 1099 contractor tracking and documentation support

2. Subscription Terms and Pricing

FieldTimesheet is offered as a subscription service with the following terms:

• Base Price: $99 per month, which includes up to 10 workers
• Additional Workers: $8 per worker per month for each worker beyond 10
• Billing Cycle: Subscriptions are billed monthly in advance
• Free Trial: New accounts may be eligible for a 14-day free trial
• Payment: Payment is processed through our third-party payment processor (Stripe). You authorize us to charge your payment method on a recurring basis
• Price Changes: We may modify pricing with 30 days advance notice. Continued use after a price change constitutes acceptance of the new pricing

All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

3. Acceptable Use

You agree to use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:

• Use the Service for any fraudulent, deceptive, or illegal purposes
• Submit false, misleading, or inaccurate time entries or data
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to violate the rights of others, including privacy and intellectual property rights
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated systems or software to extract data from the Service without permission
• Share your account credentials or allow others to access your account

4. Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your account credentials, including passwords and API keys
• All activities that occur under your account, whether authorized by you or not
• Providing accurate and complete registration information
• Promptly updating your account information if it changes
• Notifying us immediately of any unauthorized access to or use of your account
• Ensuring that your use of the Service complies with all applicable laws and regulations, including employment and labor laws

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

5. Third-Party Services

Our Service integrates with third-party services, including but not limited to QuickBooks Online. By using these integrations:

• You acknowledge that you must have a valid account with the third-party service (e.g., QuickBooks Online)
• You authorize FieldTimesheet to access and sync data with your third-party accounts as necessary to provide the Service
• You are responsible for maintaining your third-party accounts and credentials
• You understand that third-party services are governed by their own terms of service and privacy policies
• We are not responsible for the availability, accuracy, or functionality of third-party services
• Changes to third-party APIs or services may affect the functionality of our integrations

6. Intellectual Property

Our Property: FieldTimesheet and its licensors own all rights, title, and interest in and to the Service, including all software, designs, text, graphics, and other content provided through the Service. The Service is protected by copyright, trademark, and other intellectual property laws.

Your Data: You retain all rights to the data you submit to the Service, including time entries, job information, and employee data ("Your Data"). You grant us a limited license to use, store, and process Your Data solely for the purpose of providing and improving the Service.

Feedback: If you provide us with feedback or suggestions about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Data Privacy and Security

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement reasonable security measures to protect your data, but no method of transmission or storage is 100% secure.

8. Email Communications

By creating an account or providing your email address, you consent to receive the following types of email communications from FieldTimesheet:

• Transactional emails: Password resets, account notifications, security alerts, and billing confirmations. These emails are essential to the operation of your account and cannot be opted out of while your account is active
• Trial and onboarding emails: During your free trial, we send a series of emails to help you set up and get the most value from FieldTimesheet
• Product updates: Occasional emails about new features, improvements, and changes to the Service
• Newsletter and marketing emails: Tips on time tracking, job costing, and running a more profitable contracting business

You may unsubscribe from newsletter, marketing, and product update emails at any time by clicking the unsubscribe link included in every such email. Unsubscribe requests are processed promptly. Transactional emails necessary for account operation will continue as long as your account remains active.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY
• WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• IN NO EVENT SHALL FIELDTIMESHEET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless FieldTimesheet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time:

• By You: You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period
• By Us: We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees when due, or for any other reason at our discretion with reasonable notice
• Data Export: Upon termination, you may request an export of Your Data for up to 30 days after termination. After this period, we may delete Your Data in accordance with our data retention policies
• Effect of Termination: Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FieldTimesheet regarding the Service
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control
